Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between the customer (“Buyer,” “you”) and Passionblade (“Seller,” “we,” “us,” or “our”) governing the purchase of products from us and the use of our website, passionblade.com (“Website”).

General Provisions

Acceptance: By placing an order with the Seller or using the Website, the Buyer agrees to be bound by these Terms. These Terms supersede all prior or contemporaneous agreements, negotiations, and discussions, whether oral or written.
Definitions:

“Products” refers to the industrial mechanical cutting blades and related items supplied by the Seller, including but not limited to slitter blades, carbide blades, circular knives, and custom-designed blades.
“Order” refers to the Buyer’s formal request to purchase Products.

Commercial Terms

Quotations: All quotations issued by the Seller are for informational purposes and do not constitute a binding offer. The validity period, pricing, and specific terms of any quotation will be explicitly stated on the quotation document itself. The Seller reserves the right to withdraw or amend any quotation at any time prior to Order acceptance.
Orders & Acceptance: All Orders placed by the Buyer are subject to final acceptance by the Seller. The Seller reserves the right to reject any Order for any reason. An Order is considered accepted only upon the Seller’s issuance of a formal Order Confirmation or Proforma Invoice.
Cancellation and Custom Orders:

Standard Orders may not be cancelled once shipment has been arranged.
Orders for customized Products are non-cancellable and non-refundable once production has commenced.

Pricing & Shipping Terms: The price, currency, and applicable shipping terms (Incoterms 2020) for any Order will be as specified in the corresponding Quotation or Proforma Invoice. Unless otherwise stated in writing, all prices are exclusive of any taxes, tariffs, duties, shipping, and insurance costs, which are the sole responsibility of the Buyer.
Payment & Title to Products:

Payment terms are specified in the invoice. Full payment is typically required before shipment unless other credit terms have been formally agreed upon in writing.
Title (legal ownership) to the Products shall not pass to the Buyer until the Seller has received payment in full for the Products.

Shipping & Delivery

Shipping Policy: Shipping terms (Incoterms 2020) will be defined in the Order Confirmation. The risk of loss or damage to the goods shall pass to the buyer in accordance with the agreed Incoterms (for example, under EXW or FOB terms, upon delivery to the carrier).
Delivery Times: All provided delivery dates are good-faith estimates only. The Seller shall not be liable for any delays in delivery due to causes beyond its reasonable control.
Inspection by Buyer: The Buyer shall inspect the Products immediately upon receipt. Any claims regarding shortages, damage, or defects must be submitted to the Seller in writing within [e.g., 10] business days of delivery. Failure to do so will constitute unconditional acceptance of the Products.

Warranty & Returns

Limited Warranty: The Seller warrants that the Products will be free from defects in materials and workmanship under normal use and service for a period of [e.g., 90] days from the date of delivery. The Seller’s sole liability under this warranty shall be limited to, at its option, repairing or replacing the defective Product, or crediting the Buyer’s account for the purchase price of the defective Product.
Return Policy: No Products may be returned without a prior written Return Merchandise Authorization (RMA) from the Seller. Returns are only accepted for Products covered by the Limited Warranty. Customized Products are not eligible for return.
WARRANTY DISCLAIMER: THE FOREGOING LIMITED WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES. THE SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE SELLER IS NOT RESPONSIBLE FOR DAMAGE RESULTING FROM IMPROPER USE, INSTALLATION, OR MAINTENANCE.

Intellectual Property

All intellectual property rights, including copyrights, trademarks, patents, and trade secrets related to the Products, their design, and all content on the Website, are and shall remain the exclusive property of the Seller.

Limitation Of Liability

IN NO EVENT SHALL THE SELLER BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, LOSS OF PRODUCTION, OR BUSINESS INTERRUPTION, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. THE SELLER’S MAXIMUM AGGREGATE LIABILITY ARISING FROM OR RELATING TO ANY PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE PAID BY THE BUYER FOR THAT PRODUCT.

Miscellaneous

Force Majeure: The Seller shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, riot, embargoes, governmental acts, fires, floods, accidents, or strikes.
Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute shall be resolved exclusively in the competent courts of Chengdu, Sichuan Province, China.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement: These Terms, together with the applicable Order Confirmation or invoice, constitute the entire agreement between the Buyer and the Seller.
